Terms and Conditions

1. Scope of Work (SOW)
1.1 The Contractor agrees to provide video production services as per the agreed-upon brief outlined in this contract. The scope of work includes but is not limited to:​

1.1.1 Pre-Production:

Concept development and consultation
-
Scriptwriting and storyboarding (if applicable)

Location scouting (if applicable)
-
Scheduling and coordination

1.1.2 Production:
-
Filming as per the agreed concept
-
Use of professional equipment, including cameras, lighting, and sound.

Note: Contractor will only bring equipment required for the specific shoot as outlined in the brief. Any last-minute requests on the shoot day for additional equipment or services will not be able to be fulfilled unless previously arranged.

Any additional services or equipment needed on the shoot day must be requested in writing at least 48 hours in advance. Last-minute requests will be subject to availability and may incur additional fees but cannot be guaranteed.

1.1.3 Post-Production:

Editing the footage according to the agreed style and format

Colour grading and sound mixing
-
Delivering the final edited video file (length and resolution as specified in the brief)

2. Revisions
2.1 Two rounds of revisions are included in the quoted price (excludes re-shoots unless due to Contractor error).
2.2 Additional services or changes requested outside of this scope will be subject to additional fees, which will be communicated and agreed upon in writing.

3. Payment Terms
3.1 A non-refundable deposit of 50% of the total quoted amount must be received before pre-production commences.
3.2 Client will pay the invoice amount to Contractor within 30 days of the invoice date unless stated otherwise. Payment will be made via bank transfer.
3.3 All costs provided exclude VAT where applicable and are in GBP (unless otherwise stated).
3.4 'Statutory interest' (8% plus the Bank of England base rate) will be applied to late payments.

4. Delivery
4.1 An online video link will be sent to the Client during the reviewing stages.
4.2 The Client will receive a download link once full payment has been received. This link will expire after 7 days.
4.3 Contractor will not keep content available online, such as Vimeo links that have been sent for reviewing. These will be deleted once the download file is sent.

5. Copyright and Intellectual Property
5.1 Only once full payment has been received is the Client granted copyright permissions to the content.
5.2 The Contractor retains full ownership of all raw footage, unedited materials, and original project files unless otherwise agreed upon in writing.
5.3 Should the Client wish to receive all raw footage or final edited footage in editable formats, this will incur an additional cost of 30% of the total project cost.

6. Promotional Use
6.1 The Contractor reserves the right to use any finalised materials for their own promotional purposes (e.g., showreel, website portfolio, social media), unless otherwise restricted by written agreement.

7. Turnaround Time
7.1 Contractor is not responsible for production delays caused by delayed Client communication.

8. 30-Day No Contact Clause
8.1 If the Contractor does not receive communication from the Client for a period of 30 consecutive days, the project will be considered cancelled. In such cases, the deposit will be retained and additional work completed will be invoiced.

9. Legal
9.1 The Contractor shall not be held liable for damages, including lost profits or savings.
​
10. Force Majeure
10.1 The Contractor shall not be held liable for delays or cancellations due to unforeseen circumstances beyond their control, such as natural disasters, strikes, or other significant events.

11. Confidentiality
11.1 The Contractor agrees to keep confidential any information provided by the Client that is not intended for public use.
12. Data Protection & Privacy
12.1 Any personal data collected via the Typeform questionnaire or other means will be handled in accordance with applicable data protection laws.
13. Dispute Resolution
13.1 In the event of a dispute, both parties agree to attempt to resolve the matter through mediation before pursuing legal action.
14. Amendments
14.1 The Contractor reserves the right to update these Terms and Conditions at any time.
15. Consent
15.1 The Client is responsible for ensuring participants involved in the video have provided appropriate consent.
16. Project Termination
16.1 Either party may terminate the agreement by providing formal notice. The Contractor will retain the non-refundable deposit, and the Client will be invoiced for any additional work completed up until termination.
These Terms and Conditions are provided to protect the rights and interests of both Prickly Peach Films and the Client. By proceeding with any project, the Client acknowledges and agrees to the terms outlined above.
