Services will be provided according to the specifications detailed in the Terms and Conditions below.

 

The Contractor agrees to provide video production services as per the agreed-upon brief outlined in this contract. The scope of work includes but is not limited to:

  1. Pre-Production:

    • Concept development and consultation

    • Scriptwriting and storyboarding (if applicable)

    • Location scouting (if applicable)

    • Scheduling and coordination

  2. Production:

    • Filming as per the agreed concept

    • Use of professional equipment, including cameras, lighting, and sound.
      Note: Contractor will only bring equipment required for the specific shoot as outlined in the brief. Any last-minute requests on the shoot day for additional equipment or services will not be able to be fulfilled unless previously arranged.

    • Any additional services or equipment needed on the shoot day must be requested in writing at least 48 hours in advance so the Contractor can assess feasibility and availability. Last-minute requests on the shoot day will be subject to availability and may incur additional fees, but cannot be guaranteed.

  3. Post-Production:

    • Editing the footage according to the agreed style and format

    • Colour grading and sound mixing

    • Delivering the final edited video file (length and resolution as specified in the brief)

  4. Revisions:

    • Two rounds of revisions are included in the quoted price (excludes re-shoots unless due to Contractor error)

 

Additional services or changes requested outside of this scope will be subject to additional fees, which will be communicated and agreed upon in writing.
 

Deposit

A non-refundable deposit of 50% of the total quoted amount will be received before pre-production commences. This ensures the Contractor receives payment for any pre-production work completed in the event of the production failing to come to fruition.

Delivery and Payment

The remaining payment is due upon the client’s approval of the content or 30 calendar days after the shoot day, whichever occurs first. During the review stage, an online video link will be provided to the Client for feedback. The final download link will be sent upon receipt of full payment. The Client agrees to pay the invoice within 30 calendar days of the invoice date, unless otherwise specified. Payment shall be made via bank transfer.

Copyright

Only once full payment has been received is the Client granted copyright permissions to the content. Any materials created by the Contractor can be used by them for their own promotional purposes, after their release by the Client (i.e., website, showreel, etc.), unless an agreement has been reached contradictory to this by Client and Contractor.

Changes and Revisions

Two revisions of the materials are included in the total price quoted. Please note that extra revision requests will incur additional costs. Revision requests do not include reshoots unless there is an error made by the Contractor that does not follow the agreed concept by both parties.

Turnaround Time

Contractor is not responsible for any production delays due to delayed contact on the Client’s behalf. Contractor will ensure a prompt response to any contact from the Client.
If there is a delay in Client feedback, Contractor is not responsible for missing any deadline/agreed turnaround time. 
 

30-Day No Contact Clause

If Contractor does not receive any communication from Client for a period of 30 consecutive days during any phase of the project (pre-production, production, or post-production), Contractor reserves the right to consider the project cancelled. In such cases, the non-refundable deposit will be retained, and any outstanding work completed up to that point will be invoiced. Re-engaging the project after the 30-day period will require a new agreement, including additional fees based on revised timelines and availability.

Legal

The Contractor cannot guarantee that the work will be entirely free of errors, and therefore, the Contractor shall not be held liable to the Client or any third party for damages, including but not limited to lost profits, lost savings, or other incidental, consequential, or special damages. If any provision of this contract is deemed unlawful, void, or unenforceable for any reason, such provision shall be considered severable from the contract, and the validity and enforceability of the remaining provisions shall not be affected.

Payment

All video content concepts will be agreed upon prior to delivery by signing this contract or paying the deposit. The quote and contract will reflect the brief. Once signed off by the Client, the full amount is non-refundable.
 

If any arising issues are non-rectifiable by the Contractor, terms will be discussed between Client and Contractor to reach a fair resolution. Contractor will invoice the Client on the day that the work is completed. The 30 calendar days to complete payment will begin on the day the invoice is sent. ‘Statutory interest’ (8% plus the Bank of England base rate) will be applied to late payments. By signing this document, the Client agrees that they are able to make payments within 30 calendar days.

 

Delivery

Contractor will provide Client with a download link for the completed content. This link will expire after 7 days, so the Client must keep a safe copy of the downloaded content. Contractor will not keep content available online, such as Vimeo links that have been sent for reviewing. These will be deleted once the download file is sent.
 

Intellectual Property Clause

The Contractor retains full ownership of all raw footage, unedited materials, and original project files unless otherwise agreed upon in writing. Only upon full payment does the Client gain copyright and usage rights to the final edited video.

  • Raw Footage & Edited, Graded Footage Access: Should the Client wish to receive all raw footage or the final edited and graded footage (where grading has already been completed and used in the delivered project) in an editable format (e.g. ProRes), this will incur an additional fee of 30% of the total project cost. If the requested footage has not yet been graded, any grading required will be charged separately at the applicable grading rate. Any request for raw footage or editable files must be made in writing within 30 days of project delivery. After this period, the Contractor is not obligated to retain any raw footage, and its availability may be subject to additional storage and retrieval costs.

  • Project Files:
    Contractor does provide Project files (e.g. Premiere Pro, After Effects, Lightroom) with project delivery. If this is a specific requirement, this must be agreed upon by both Client and Contractor in writing prior to project commencement, or the Contractor reserves the right to deny a request.

 

  • Promotional Use by Contractor:
    The Contractor reserves the right to use any finalised materials for their own promotional purposes (e.g., showreel, website portfolio, social media), unless otherwise restricted by written agreement.

Consent

Client is responsible for participants' involvement in the video who are contacts of Client (i.e., staff, family, friends, or any other participant who has been requested to be part of the video). Client will ensure that every participant has signed a consent form and retain this document for future reference.

Project Termination

If at any stage during the project, either party wishes to terminate the agreement, a formal notice must be provided. Contractor will retain the non-refundable deposit, and the Client will be invoiced for any additional work completed up until the termination date. If Contractor initiates termination due to non-cooperation or non-compliance from Client, no refunds will be provided.
