360° Virtual Tour Terms and Conditions
1. Scope of Work (SOW)
1.1 The Contractor (Prickly Peach Films Ltd) agrees to provide 360° virtual tour creation services as per the agreed-upon brief outlined in this contract. The scope of work includes but is not limited to:
1.1.1 Pre-Production:

Mapping the areas, rooms, or floors to be included in the 360° tour

Scheduling and coordination
1.1.2 Production:

Capturing 360° imagery as per the agreed plan

Use of professional 360° camera equipment only, unless otherwise agreed in writing

Note: The Contractor will only bring equipment required for the 360° shoot. Any additional equipment or services (such as video or photography add-ons) must be arranged in advance and will incur additional fees.
1.1.3 Post-Production:

Assembling and editing the 360° tour according to the agreed style and format

Adding client-provided materials such as logos, text, links, or pre-existing photographs/videos (as specified in the brief)

Hosting the completed 360° tour and providing an embeddable link for the Client’s use
2. Revisions
2.1 Two rounds of revisions are included in the quoted price. This excludes re-shoots, which are not included unless due to Contractor error.
2.2 Clients may request up to two rounds of content updates per year (e.g., changing text, adding links, or replacing photographs/videos) within reasonable limits.
2.3 Additional updates or changes outside of these allowances will be subject to additional fees, which will be communicated and agreed upon in writing.
3. Payment Terms
3.1 A non-refundable deposit of 50% of the total quoted amount must be received before any pre-production work commences.
3.2 The remaining balance must be paid within 30 calendar days of the invoice date unless stated otherwise. Payment will be made via bank transfer.
3.3 All costs exclude VAT where applicable and are in GBP unless otherwise stated.
3.4 Annual Hosting Fee: A hosting fee will be charged each year to keep the 360° tour live. Renewal details will be specified in the quote.
3.5 Statutory interest (8% plus the Bank of England base rate) will be applied to late payments.
4. Delivery
4.1 During the review stage, a temporary viewing link will be provided for Client feedback.
4.2 The final embeddable tour link will be provided once full payment has been received.
4.3 The Client is responsible for saving and embedding the provided link. The Contractor will not host any temporary links indefinitely.
5. Copyright and Intellectual Property
5.1 The Client is granted full usage rights to the final hosted 360° tour only upon full payment.
5.2 The Contractor retains full ownership of all original 360° imagery and project files.
5.3 Raw 360° image files are not available to the Client, as they cannot be used or edited outside of the Contractor’s production system.
6. Promotional Use
6.1 The Contractor reserves the right to use the completed 360° tour for showcasing or inclusion in case studies, unless otherwise restricted by written agreement.
7. Turnaround Time
7.1 Contractor is not responsible for production delays caused by delayed Client communication.
8. 30-Day No Contact Clause
8.1 If the Contractor does not receive communication from the Client for a period of 30 consecutive days, the project will be considered cancelled. In such cases, the deposit will be retained and additional work completed will be invoiced.
9. Legal
9.1 The Contractor shall not be held liable for damages, including lost profits or savings.
10. Force Majeure
10.1 The Contractor shall not be held liable for delays or cancellations due to unforeseen circumstances beyond their control, such as natural disasters, strikes, or other significant events.
11. Confidentiality
11.1 The Contractor agrees to keep confidential any information provided by the Client that is not intended for public use.
12. Data Protection & Privacy
12.1 Any personal data collected via the Typeform questionnaire or other means will be handled in accordance with applicable data protection laws.
13. Dispute Resolution
13.1 In the event of a dispute, both parties agree to attempt to resolve the matter through mediation before pursuing legal action.
14. Amendments
14.1 The Contractor reserves the right to update these Terms and Conditions at any time.
15. Consent
15.1 The Client is responsible for ensuring that any individuals featured within the 360° imagery have given appropriate consent.
16. Project Termination
16.1 Either party may terminate the agreement by providing formal notice. The Contractor will retain the non-refundable deposit, and the Client will be invoiced for any additional work completed up until termination.
These Terms and Conditions are provided to protect the rights and interests of both Prickly Peach Films and the Client. By proceeding with any project, the Client acknowledges and agrees to the terms outlined above.
